This Privacy Policy (“Policy”) describes how Percipient LLC (“Company,” “we,” “us,” or “our”) collects, uses, discloses, and protects information when you visit or use any of our websites or services, including percipient.co, percipient.app, legalhold.app, and certera.ai (collectively, the “Services”), or otherwise interact with us through those sites.

The Services are intended for business and professional users, including organizations that purchase or use our products and authorized users who create accounts to access the Services. The Services are not directed to individuals acting in a purely personal or household capacity.

At this time, the Services are primarily offered to users located in the United States. We do not currently engage in targeted marketing to users in the European Union, the United Kingdom, or other non-U.S. jurisdictions, though this may change as the business evolves.

1. INFORMATION WE COLLECT

(a) Information You Provide Voluntarily. When users create accounts or access the Services, we may collect information such as name, business email address, organization name, role, login credentials, and other information necessary to provision, authenticate, and manage user access.

(b) Content You Submit to the Services. When you use the Services, you may submit prompts, documents, queries, files, or other materials (collectively, “User Content”). We process User Content to provide the Services to you. Certain Services (including Certera) submit User Content to one or more third-party AI model providers in order to generate responses or outputs.

(c) AI Outputs and Preference Data. When the Services generate outputs in response to User Content, we may retain those outputs, along with any ratings, comparisons, selections, or other feedback you provide about the outputs (“Preference Data”). We use Preference Data to evaluate and improve AI model performance, including through fine-tuning and reinforcement learning.

(d) Information Collected Automatically. When you visit our Services, we may automatically collect certain technical and usage information, including IP address, browser type, device information, operating system, referring URLs, pages viewed, and dates and times of visits. We collect this information using cookies, server logs, and similar technologies.

(e) Payment Information. If you purchase Services, payment processing is handled by third-party payment processors (such as Stripe). We do not store full payment card numbers on our servers. We may receive limited payment-related information, such as billing contact details, payment status, and transaction identifiers, for accounting, reconciliation, and recordkeeping purposes.

(f) Analytics and Marketing Data. We may use analytics and marketing tools (including HubSpot and similar services) to understand usage patterns, evaluate marketing efforts, and improve the Services. These tools may collect usage and interaction data in accordance with their own privacy practices.

(g) Aggregated or De-Identified Information. We may create aggregated, anonymized, or de-identified data derived from information collected through the Services. Such information does not identify you and may be used for any lawful purpose, including improving our models and services and offering anonymized evaluation services to third parties.

(h) Professional Eligibility Information. Certain Services (including Certera) are limited to verified legal professionals. To access those Services, we collect information about your professional eligibility through an intake process, including whether you are a legal professional, your professional role (such as attorney, judge, paralegal, or other legal professional), your main area of legal practice, the jurisdictions in which you are licensed, and your bar, roll, or equivalent registration identifier. We use this information solely to verify that you are an eligible legal professional and to prevent misuse of the Services. We may verify the information you submit, including against publicly available bar or licensure records.

2. HOW WE USE INFORMATION

We use information collected through the Services to:

Create, manage, and administer user accounts;
Verify professional eligibility for Services that are limited to legal professionals, including by reviewing intake information against publicly available bar or licensure records;
Provide the Services, including routing User Content to third-party AI model providers where applicable;
Generate outputs in response to User Content and deliver those outputs to you;
Evaluate AI model performance, perform quality assurance, and improve the Services, including through fine-tuning and reinforcement learning;
Process transactions and manage billing and payments through third-party processors;
Send service-related, administrative, and marketing communications, subject to applicable opt-out rights;
Evaluate users for, and contact users about, Percipient’s expert evaluator, contractor, consulting, or employment opportunities, subject to applicable opt-out rights;
Analyze usage trends and improve the functionality, performance, and security of the Services;
Comply with applicable laws and protect our rights and the rights of others.

3. AI MODEL PROVIDERS

Certain Services (including Certera) submit User Content to one or more third-party AI model providers in order to generate responses or outputs. Each model provider processes the information it receives in accordance with its own terms and privacy practices. The specific providers we use may change over time as our services evolve. By using these Services, you authorize us to transmit your User Content to such providers as necessary to deliver the Services to you. Where Services offer an optional tool to redact or replace identifying information in User Content before submission, that tool is provided as a convenience and is not guaranteed to remove all identifying information; you remain responsible for what you submit.

4. COOKIES AND SIMILAR TECHNOLOGIES

We use cookies and similar technologies to support basic functionality, analytics, and performance monitoring. At present, cookies are used primarily for operational and analytics purposes. We may introduce additional cookies or similar technologies in the future as the Services evolve. You can manage cookies through your browser settings. Disabling cookies may affect the functionality of the Services.

5. HOW WE SHARE INFORMATION

We do not sell your personal information.

We may share information collected through the Services in the following circumstances:

AI Model Providers. We share User Content and related information with third-party AI model providers as necessary to deliver the Services, as described in Section 3.
Service Providers. We may share information with third-party vendors that provide services on our behalf, such as hosting providers (including AWS and Google Cloud), payment processors (such as Stripe), identity providers (such as Google and Microsoft), analytics providers, and marketing platforms (including HubSpot). These providers are authorized to use information only as necessary to perform services for us and are subject to contractual confidentiality obligations. Our current service providers primarily process data within the United States.
Legal and Compliance. To comply with applicable laws, regulations, legal processes, or governmental requests, or to protect our rights and the rights of others.
Business Transactions. In connection with a merger, acquisition, reorganization, or sale of assets, where information may be transferred as part of the transaction.
With Consent. Where you have provided consent or direction.
Anonymized Data. We may share aggregated, anonymized, or de-identified information for any lawful purpose, including offering anonymized evaluation services to third parties, provided that such information does not reasonably identify you, any individual, or any specific document or transaction.

6. DATA SECURITY

We implement reasonable administrative, technical, and physical safeguards designed to protect information collected through the Services against unauthorized access, use, or disclosure. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

7. DATA RETENTION

We retain information collected through the Services for as long as reasonably necessary to fulfill the purposes described in this Policy, unless a longer retention period is required or permitted by law. We may retain Preference Data and aggregated or de-identified information indefinitely.

8. INTERNATIONAL VISITORS

If you access the Services from outside the United States, your information may be transferred to and processed in the United States or other jurisdictions that may not provide the same level of data protection as your home country. Where required by law, we will take appropriate steps to ensure lawful transfer mechanisms are in place.

9. YOUR RIGHTS AND CHOICES

Because the Services are used primarily in a business-to-business context, most information we process relates to business contact information rather than consumer personal data.

You may request access to, correction of, or deletion of your information by contacting us at the privacy contact email listed below. We do not publish a specific response timeline but will respond within a reasonable timeframe, subject to verification and applicable legal requirements.

You may opt out of marketing communications at any time by using the unsubscribe link included in our emails or by contacting us directly.

10. CHILDREN’S PRIVACY

The Services are not directed to children under the age of 13, and we do not knowingly collect personal information from children. If we become aware that personal information from a child has been collected, we will take steps to delete it.

11. CHANGES TO THIS POLICY

We may update this Policy from time to time. When we do, we will revise the “Last Updated” date at the top of this Policy. Continued use of the Services after changes become effective constitutes acceptance of the revised Policy.
